These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Middle Block LTD (“Company,” “we,” “us,” or “our”) concerning your access to and use of the Middle Block website, including any related applications, media channels, platforms, or services (collectively, the “Site”).
By accessing or using the Site, you agree that you have read, understood, and agreed to be bound by these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right to change, modify, or remove content from these Terms of Use at our sole discretion at any time. Changes become effective immediately upon posting, and it is your responsibility to review these Terms regularly. By continuing to use the Site, you agree to any changes.
The Site and its Content—including source code, databases, functionality, software, designs, audio, video, text, and graphics (collectively, “Content”)—and trademarks, logos, and service marks (“Marks”) are owned or licensed by Middle Block LTD and are protected by intellectual property laws. You may access the Site for personal, non-commercial use only. No part of the Site or its Content may be copied, distributed, republished, uploaded, posted, publicly displayed, encoded, or transmitted for any commercial purpose without our prior written permission.
Middle Block offers creators the ability to distribute and monetize their video content through our syndication services. By submitting content, creators grant us a worldwide, non-exclusive, royalty-free license to use, distribute, and monetize their content across our publisher network. This includes the right to adapt or modify content for platform compatibility. Creators will receive 50% of the net revenue generated from ad monetization of their content.

The Site may provide the opportunity to submit, post, or share content (collectively, “Contributions”). By submitting Contributions, you represent and warrant that:
You grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, distribute, modify, adapt, publicly display, and perform your Contributions in connection with our services and the Site.
In addition to video content syndication, Middleblock offers the following services:
Host and Share Platform: Middleblock allows users to host and share video content through our platform, enabling broader distribution and visibility. All content shared on the platform is subject to our Content Guidelines.
Instream Video Player: Middleblock provides an Instream Player that enables seamless integration of video content into third-party websites. By using our player, publishers can syndicate content while benefiting from Middleblock’s monetization features.
Middleblock is not responsible for any third-party platforms or websites that utilize our player or host syndicated content, nor for any issues arising from their use.
The Site may link to or host content from third-party websites. We do not control or monitor third-party content and are not responsible for its accuracy, reliability, or completeness. You access and use third-party content at your own risk. We do not endorse any third-party content or websites, and we are not liable for any harm caused by accessing or interacting with third-party websites or content.
We care about your data privacy and security. By using the Site, you agree to the terms of our Privacy Policy, which governs how we collect, store, and use your personal data. Please review our Privacy Policy for more details.
For creators using our syndication services, revenue from ad monetization is split on a 50/50 basis. Payments will be made under a Net 30 payment structure upon receipt of a valid invoice. We reserve the right to withhold payments if there is a breach of our Terms of Use or applicable laws.
THE SITE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee that the Site will be error-free, secure, or free of harmful components like viruses or malware. We are not liable for any interruptions, delays, or malfunctions that affect your ability to access or use the Site.
To the fullest extent permitted by law, Middleblock, its affiliates, directors, officers, employees, agents, or licensors will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or any services provided by us. This includes, but is not limited to, lost profits, lost data, or damages resulting from the use or inability to use the Site.
You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, losses, or expenses, including reasonable attorneys’ fees, arising out of your use of the Site, violation of these Terms, or infringement of third-party rights. We reserve the right to assume the exclusive defense of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense.
We reserve the right to monitor the Site for any violations of these Terms of Use. We may remove or disable access to any content that violates our policies, laws, or third-party rights. We may also suspend or terminate user access at our discretion.
These Terms of Use are governed by and construed in accordance with the laws of Israel. Any disputes arising from or relating to these Terms will be settled through binding arbitration under the rules of the International Commercial Arbitration Court under the European Arbitration Chamber, with arbitration held in Tel Aviv, Israel. The language of arbitration will be English.
These Terms of Use and any policies posted on the Site constitute the entire agreement between you and Middle Block LTD. Our failure to enforce any provision of these Terms will not be considered a waiver of those provisions. If any part of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
